General terms of use and sale (SaaS) — Soluax

1. Parties and purpose
The service is provided by AXIIZ, a French single-shareholder simplified joint-stock company with a share capital of €100, registered with the Montpellier Trade and Companies Register under number 881 813 174, whose registered office is at 222 place Ernest Granier, 34000 Montpellier, France (EU VAT number FR50881813174), hereinafter the “Publisher”, contact support@soluax.ai. The “Client” is the professional subscribing for the needs of its business and having authority to bind its organization. The offer is not intended for consumers.
Soluax is a subscription to software that reads and monitors backup reports. It receives the reports sent to an email address dedicated to a monitor, through the provider Mailgun configured in the EU region, as well as text/CSV imports and webhook transmissions. It applies classification rules and presents a summary. The Client itself sets up its tools to send emails directly to this address. Attachments are not analyzed: the report to read must be in the body of the message. The n8n connector remains an optional legacy option; it is not needed for native email reception. The AI explanation is optional and labelled as such when enabled.
2. Limits of the service
Soluax does not perform backups, does not test restores, does not check backed-up files and does not administer infrastructure. A favorable status only means that the report received meets the software's rules; it does not prove the restorability, completeness, integrity or security of a backup. A missing report or an unrecognized format calls for a human check.
The Client maintains its vendor alerts, its checks, its restore procedures and its obligations towards its customers. No contractual SLA with figures, certification or compliance guarantee is included in the beta. AI may produce an inaccurate explanation; it does not change the deterministic status and triggers no administrative action.
3. Account and use
The Client provides accurate information, protects its access and revokes compromised credentials. It does not circumvent quotas, send unlawful content, try to access other people's data or use the service to disrupt systems. It holds the necessary rights to the reports and the authorizations of its end customers.
Reports must contain neither access secrets nor data unrelated to their analysis. Aliases for clients and machines are recommended. Automatic filtering does not replace prior minimization: when sending by email, the raw message, its headers and any attachments pass through Mailgun and then to the Soluax reception point before redaction. Attachments are neither analyzed nor archived in the Soluax application database. The database keeps the redacted text, up to 20,000 characters, and the necessary results; the email provider's technical retention is separate and described in the privacy policy. The history covers a rolling 90 days from the report date; older data is deleted during the daily retention pass run by the scheduled task, normally within 24 hours of its expiry. Messages to assign are deleted 30 days after their reception or assignment.
The Client protects the dedicated addresses and reception tokens against unauthorized use. Carrying a report by email is no independent proof of its origin or that a backup ran properly. A message that is not received, rejected, too large or unusable must be checked in the source tools.
4. Offer, trial and prices
Prices excluding tax, in euros; VAT added according to the regime applicable to the Publisher and to the transaction. The order summary shows the total amount before confirmation.

Features by plan: email alerts on all plans; Slack and Teams alerts and a reception address per client from Starter; monthly PDF reports from Pro; reports in the Client's brand and the API reserved for the MSP plan. Tickets, calendar and the 90-day history are included in all plans. The Slack or Teams spaces receiving alerts are chosen by the Client and used under its own contract with these services; Soluax sends no report content to them.
A monitor is a report source configured in the account. The V1 limits are as follows:
- Text: 20,000 characters per report; normalized CSV: 50 reports per import.
- Import from the interface: 120 requests per hour per account.
- Webhook reception: 120 requests per hour per monitor, with an overall cap of 2,000 requests per 24-hour period per account.
- Report date: within the last 90 days; five-minute tolerance for clocks running ahead.
- AI explanations, if configured: monthly credits of 20 for Starter, 100 for Pro and the trial, 400 for MSP, none for Free. An explanation costs 1 credit with Mistral AI or OpenAI and 3 credits with Claude (Anthropic); only explanations obtained are counted. Monthly credits renew at the start of each calendar month, with no carry-over. Additional credits may be granted by the Publisher; they remain available until used. At most 20 explanations per hour per account. To control its costs, the Publisher may temporarily suspend the feature for all accounts when an overall monthly budget is reached. At most 2,000 filtered characters are sent, with the user's authorization and at the user's request.
- Dashboard: 500 recent reports displayed; exports cover the data available under the retention rules.
- Expected interval of a monitor: between one and 720 hours. Delays are calculated when viewed and by a scheduled task run every minute in production. New states or reports requiring a check trigger an alert if enabled; the same fingerprint does not trigger a reminder on every pass. The return to success closes the ticket and sends a recovery alert on the channels configured for it. Queues, outages or rejections may extend these delays: no delivery time or real-time monitoring is guaranteed.
Security limits may cause a temporary refusal of a request. No automatic paid overage is applied without agreement.
30-day trial without a credit card from the creation of the account, with the features and limits of the Pro plan. Without an explicit subscription, the trial does not become a paid subscription. As soon as a paid subscription is active, its limits take priority over those of the trial, even if the initial 30-day period has not ended. The Client must therefore choose the offer suited to the number of monitors it wishes to keep in use. After the trial without an active subscription, or at the end of a subscription, the account moves to the Free plan: the five oldest monitors remain monitored, the others are suspended without being deleted, and features not included in this plan are disabled. PDF reports already generated remain downloadable. Reports continue to expire according to the planned retention.
The Founders offer is reserved for the first twenty eligible subscriptions, controlled by the Stripe coupon. It applies a 40% discount to the chosen plan, monthly or annual, as long as the subscription remains active without interruption. The discount ends on cancellation; a later new subscription is billed at the current price. No fictitious remaining places are displayed.
5. Order, payment and renewal
Before paying, the Client reviews the offer, the price, the billing period and these terms, then confirms its acceptance. The version of the terms and the proof of order are kept. Payment is made through the provider Stripe; an invoice bearing the Publisher's details is made available.
The monthly subscription is payable in advance and renews each month. The annual subscription is payable in advance for twelve months and renews for the same period, unless cancelled before the renewal date. The Client can stop the renewal from the billing portal; its rights remain open until the end of the paid period. Stopping does not require a sales meeting. Except for the guarantee below or a mandatory rule, no pro-rata refund is due for a period that has started.
Any increase not already provided for at the time of the order is announced at least thirty days before it applies to a renewal, with the option to cancel. Periods already paid do not change retroactively. A subscription reported as unpaid by the payment provider no longer gives access to paid features; these may be suspended immediately, unless the free trial is still active. Access to the account, the payment portal and exports remains available to allow regularization. Legal obligations remain applicable.
For business payments that are due and late: penalties calculated at the European Central Bank refinancing rate plus ten points, according to the statutory rules, and a fixed recovery fee of €40, without prejudice to additional compensation on proof if the costs exceed it. No discount for early payment.
6. No refunds
The service is reserved for professionals. The 30-day free trial makes it possible to evaluate Soluax before any subscription; accordingly, amounts paid for a subscription, monthly or annual, including with the Founders offer, are not refundable, in whole or in part. The Client may cancel at any time from the billing portal: cancellation takes effect at the end of the period already paid, with no further charge. This clause does not restrict any mandatory right that may apply.
7. Operation, support and changes
The Publisher undertakes to provide the service with diligence and to fix reproducible defects within a reasonable time given their severity. Support by email: support@soluax.ai, on business days, with a reply within two business days. Custom integration or administration requests are not part of the subscription. Standard installation and usage operations follow the freely available documentation.
Maintenance and interruptions may occur. The Publisher informs Clients of significant planned maintenance where possible. In the event of the substantial removal of an essential feature during a paid period, it offers an equivalent solution or cancellation with a refund of the part not provided. New experimental features are identified as such.
8. Data and confidentiality
The Client remains the owner of its data. It authorizes their processing only to provide, secure and support the service, in accordance with the processing annex. The parties protect confidential information and limit its disclosure to persons who need to know it and are bound by confidentiality, or to authorities where a legal obligation requires it.
The Client can export its account data as JSON and request its deletion. Automatic deletion from the interface is available after cancellation and the end of the active subscription; a request sent to the data contact is still examined independently of this flow. Reports expire according to the 90-day window and the daily retention pass, the alert delivery log after 90 days and resolved tickets 36 months after their resolution; the service is not a legal archive. After deletion, backup copies expire according to the cycle stated in the policy. Data that must be kept by law is isolated. Deletion of the account and the end of charges must be confirmed; keeping an invoice never authorizes continued billing.
9. Intellectual property
The Client receives a non-exclusive right of access, personal to its organization, for the duration of the subscription. The software and the Publisher's own elements remain its property or that of its licensors. The Client may use the results for its business, subject to third-party rights and its own checking. No use of a Client's name, logo or testimonial for advertising is authorized without its separate consent.
10. Liability
Each party is liable for proven direct damage resulting from its failures. The Client is responsible for the data and instructions it sends and for the decisions taken on its systems, without this releasing the Publisher from its own obligations. Soluax must not be the only check of a backup or of a continuity arrangement.
Except in the case of fraud, gross negligence or a contrary mandatory rule, the Publisher's total liability under the contract is limited to the amounts actually paid by the Client for the service during the six months preceding the event giving rise to liability; during the trial or on the Free plan, where no amount has been paid, it is limited to €100. Loss of data, revenue or reputation following a failed backup falls under the Client's backup and restore arrangements, which Soluax does not replace. No clause excludes liabilities that cannot legally be excluded, covers fraud or gross negligence, or deprives the essential obligation of its substance.
11. Termination for breach
In the event of a material breach, the injured party may terminate after written notice describing the breach that remains uncorrected for fifteen days, except in a security emergency or a situation legally allowing immediate interruption. An urgent suspension is limited to what is necessary and is notified. Reasonable export options are maintained where they do not compromise security or the law.
12. Governing law and disputes
The contract is governed by French law, subject to the applicable mandatory rules. The parties seek an amicable resolution after a complaint to support@soluax.ai or by post to the Publisher's registered office, 222 place Ernest Granier, 34000 Montpellier, France. Failing an amicable agreement within thirty days, any dispute between professionals relating to the contract falls under the exclusive jurisdiction of the Commercial Court of Montpellier, including for summary proceedings or where there are several defendants.
